{"id":1165,"date":"2016-08-24T09:00:53","date_gmt":"2016-08-24T15:00:53","guid":{"rendered":"https:\/\/www.sunbeltnetwork.com\/milwaukee-wi\/?p=1165"},"modified":"2025-02-20T15:54:44","modified_gmt":"2025-02-20T15:54:44","slug":"five-deal-killers-to-avoid","status":"publish","type":"post","link":"https:\/\/www.sunbeltnetwork.com\/milwaukee-wi\/five-deal-killers-to-avoid\/","title":{"rendered":"Five Deal Killers to Avoid"},"content":{"rendered":"<p>Selling a business is an obstacle course of preparing your business for sale, finding a buyer, negotiating\u00a0and making it through the closing without a hitch.\u00a0But you can make selling your business easier if you avoid these deal killers.<\/p>\n<ol>\n<li><strong>Setting your asking price to high.<\/strong><\/li>\n<\/ol>\n<p>Buyers will put your asking price through the grinder to<\/p>\n<ul>\n<li>Determine if the business can fund the lifestyle salary of the new owner<\/li>\n<li>If the return on investment will provide enough to cover the down payment<\/li>\n<li>If the business can generate enough to pay the debt service on loans used to buy the business<\/li>\n<\/ul>\n<p><strong>\u00a0 \u00a0 \u00a02.\u00a0<\/strong><strong>Not getting your business in salable shape.<\/strong><\/p>\n<p>Things that scare buyers away include:<\/p>\n<ul>\n<li>Low earnings with declining sales and profits10<\/li>\n<li>No key staff in place<\/li>\n<li>Weak operations<\/li>\n<li>Low name recognition<\/li>\n<li>Buildings in poor physical condition<\/li>\n<li>Business is facing high competition with low competitive advantages<\/li>\n<li>Business is dependent on a few clients<\/li>\n<li>Declining industry or market share<\/li>\n<li>Expiring or problematic lease<\/li>\n<\/ul>\n<p>You should try to solve as many of these problems before listing, or be ready for low counter-offers or none at all.<\/p>\n<ol start=\"3\">\n<li><strong>Lacking a transition plan<\/strong>: Buyers need assurances that a business will transfer smoothly from the old to the new owner.<\/li>\n<\/ol>\n<p>Things that help this include:<\/p>\n<ul>\n<li>Transferable contracts and agreements that firmly commit clients to your business<\/li>\n<li>Employment or non-compete clauses for key personnel<\/li>\n<li>Operation and employment numbers<\/li>\n<li>A business and marketing plan<\/li>\n<li>A personal commitment that you, the seller, will remain involved for a period of time to benefit a phased seller-to-buyer transition<\/li>\n<\/ul>\n<ol start=\"4\">\n<li><strong>Have a short or non-transferable lease<\/strong>, especially if selling a restaurant or retail business that relies on walk-in business.
