The SBA rewrote its acquisition rulebook effective October 1, 2026. Here is what changed for anyone buying a business.<\/em><\/p>\n

Every SBA 7(a) loan that receives an SBA number on or after October 1, 2026, is underwritten under SOP 50 10 8.1. If you are buying a business with SBA financing, the new version changes what you bring to closing, what the business has to prove on paper, and how long the file takes to put together.<\/p>\n

A buyer can sign an LOI under one set of assumptions in September and learn in November that the deal will not fund. Here is what to know before you write the offer.<\/p>\n

The Down Payment is Bigger Than the Number in Your Head<\/h2>\n

The equity injection is 10% of total project cost. The base is total project cost, which adds working capital, closing costs, the business valuation fee, and the Quality of Earnings report on top of the price you negotiated. On a $600,000 business carrying $40,000 of working capital and closing costs, the injection is $64,000.<\/p>\n

For an initial acquisition, which is how the SBA classifies an outside buyer taking control, that 10% cannot be reduced or waived. Strong collateral will not move it. A strong borrower will not move it.<\/p>\n

Where the Money Can Come From<\/h3>\n

The new SOP sorts injection sources into two buckets.<\/p>\n

Unlimited sources can fund the entire injection: unborrowed cash, a personal loan you repay from income outside the business, and gifts or grants with no repayment attached.<\/p>\n

Limited sources are capped together at half the required injection. That bucket holds a seller note on full standby, other standby debt, and money from a non-controlling minority equity investor, meaning someone holding under 20% with no operational control.<\/p>\n

On that $64,000 injection, at most $32,000 comes from the limited bucket. The other $32,000 has to come from the unlimited side, which in practice means your own money.<\/p>\n

This cap is the change most likely to break a deal that was structured this summer. The prior SOP put no ceiling on outside investor equity. A buyer who planned to raise the down payment from passive investors and a seller note now has to bring half of it personally.<\/p>\n

One further condition on investor money used to satisfy the injection: distributions to that investor are prohibited until the 7(a) loan is paid off, with an exception for the investor’s tax obligations on business income.<\/p>\n

The Seller Note Has to Go Quiet<\/h3>\n

For a seller note to count toward your injection, it sits on full standby for the life of the SBA loan, commonly ten years. No principal, no interest, documented on SBA Form 155 or its equivalent. A note that pays the seller interest along the way remains subordinate debt and counts for nothing against the injection.<\/p>\n

Sellers do not always love this. Have that conversation early, before the term sheet hardens.<\/p>\n

The Business Has to Carry the Debt on Its Own History<\/h3>\n

An initial acquisition or an owner buyout needs 1.25 to 1 debt service coverage. A business expansion needs 1.15 to 1. The coverage has to come from historical earnings with only permitted adjustments, and projections cannot cure a shortfall in the trailing numbers.<\/p>\n

In practice, the seller’s last three years set the loan amount. A growth story you believe in has no effect on underwriting. When trailing cash flow will not cover the debt at 1.25, the deal needs a lower price, a larger down payment, or a different structure.<\/p>\n

Two Documents that are Now Part of Every File<\/h3>\n

An independent business valuation is required on all change-of-ownership transactions. When the agreed price sits above the valuation, the difference comes out of your cash.<\/p>\n

Above a $3 million business purchase price, excluding owner-occupied real estate, an initial acquisition or expansion also needs a Quality of Earnings report. The lender commissions it. A QoE the seller ordered, or one you commissioned yourself, will not satisfy the requirement. Budget for the cost and the calendar. These take weeks, and both the valuation fee and the QoE fee sit inside total project cost, which makes them part of your injection.<\/p>\n

One more piece of housekeeping: streamlined 7(a) small loans are unavailable for change-of-ownership deals at any loan size. A $250,000 acquisition runs through the same full application as a $4 million one.<\/p>\n

Buying in as a Partner<\/h3>\n

Partial change of ownership carries tighter rules. An outside buyer, meaning someone who is not already an employee, has to acquire less than 50%, cannot become the largest direct or indirect owner, and needs at least one original owner to remain in the business and guarantee the loan. Cross any of those lines and the SBA reclassifies the transaction as an initial acquisition, which brings the full non-reducible 10% injection and everything that follows it.<\/p>\n

What the Seller Can Do After Closing<\/h2>\n

The seller can stay on as a paid consultant for up to 24 months, twice the previous limit of 12. The seller cannot remain in control and cannot serve as an officer, director, stockholder or employee. For a business where the customer relationships live with the owner, that second year of transition is the most useful thing in the new SOP.<\/p>\n

Separately, seller debt created in an ownership change has to stay in place 36 months before it becomes eligible for refinancing.<\/p>\n

How This Changes the Way You Make an Offer<\/h2>\n

Get pre-qualified with a lender who has already worked a file under the new SOP, and do it before you sign an LOI. A pre-qualification written against the old rules is worth very little now.<\/p>\n

Build your injection math on total project cost. Pricing the down payment off the purchase price alone will leave you short at the closing table.<\/p>\n

Give the timeline room. The valuation and the QoE each take weeks, and neither one starts until the lender engages them.<\/p>\n

Ask the seller early whether they will carry paper on full standby. The answer changes how much cash you have to bring.<\/p>\n
