The problems that stall a deal were in your files all along<\/em><\/strong><\/p>\n

The deal is under a letter of intent. Price is agreed, the buyer is motivated, and everyone can see the closing table from here. Then the buyer’s attorney starts working through the files, and something turns up that nobody thought about in years.<\/p>\n

That is when legal problems surface. Not at listing, when you would have time to fix them. Around week three of due diligence, when your leverage is at its lowest point and both sides are worn down enough that starting over feels unthinkable.<\/p>\n

The frustrating part is that almost none of it is new. The lease has been month to month since 2019. The logo was never registered. The contractor who built your ordering system never signed anything. These were quiet problems right up until a buyer’s counsel put them on a list.<\/p>\n

One Finding Changes the Whole Review<\/h2>\n

Buyers do not read a problem in isolation. When a diligence team turns up a customer contract that cannot be assigned, they do not simply price that one item. They start wondering what else has gone unexamined, and they read every remaining document with that question in mind.<\/p>\n

The posture shift is expensive. It shows up as a price reduction, a portion of your proceeds held in escrow against future claims, an indemnity that keeps you liable for years past closing, or an earnout that moves the risk back onto you. Sometimes it shows up as a buyer who walks and a business that goes back to market with a story attached to it.<\/p>\n

Four areas account for most of what gets found.<\/p>\n

Contracts That Will Not Transfer<\/h2>\n

Owner-operated businesses run on relationships. Handshake arrangements with a vendor who has been reliable for fifteen years. A lease that rolled month to month after the last renewal. Customer agreements signed a decade ago and never revisited.<\/p>\n

The issue for a buyer is assignability. Many contracts contain a clause requiring the other party’s consent before the agreement transfers to new ownership. If your largest customer relationship or the lease on your only location cannot be assigned, the buyer cannot count on either one surviving the closing. Revenue that depends on relationships a buyer cannot inherit is revenue a buyer will not pay full price for.<\/p>\n

Work through your key contracts with counsel well before you go to market, and know exactly what conveys.<\/p>\n

A Brand You Never Registered<\/h2>\n

Plenty of owners have used a name and a logo for twenty years without ever filing a trademark, on the theory that using it is enough. It is not enough. An unregistered mark offers thin protection, and a buyer paying for brand value wants to know what they are actually buying.<\/p>\n

Proprietary systems raise the same question. If an outside developer or designer built your scheduling tool, your website, or your internal workflow, ownership belongs to whoever the agreement says it belongs to. With no work-for-hire agreement on file, that answer is often not you.<\/p>\n

Employment Files That Stopped Matching Reality<\/h2>\n

Someone you hired five years ago on a specific set of terms is probably doing different work today at different pay, under an agreement nobody updated.<\/p>\n

Three things draw attention here. Non-compete and confidentiality agreements drafted under standards that have since shifted may not hold up the way you assume. Contractors who work set hours, use your equipment, and take direction from you look like employees to an auditor regardless of what their 1099 says. And wage and hour gaps, in overtime tracking or break records or pay documentation, accumulate quietly and surface as liability with a dollar figure attached.<\/p>\n

Corporate Records Nobody Has Opened Since Formation<\/h2>\n

Bylaws, operating agreements, and partnership documents tend to sit exactly as they were drafted at formation, describing a company that no longer exists in that form.<\/p>\n

Alongside them sit three recurring problems. Multi-state sales tax obligations under economic nexus rules that changed substantially in recent years, and that many owners have never assessed. Licenses and permits that lapsed, or that require certifications a buyer needs confirmed as transferable, which matters intensely in regulated industries. And ownership ambiguity, in the form of undocumented equity grants, outstanding options, or partners whose percentages nobody can produce on paper.<\/p>\n

Ownership ambiguity is one of the cleanest ways to kill a deal. A buyer cannot acquire what you cannot prove you own.<\/p>\n

Run the Audit Before the Buyer Does<\/h2>\n

A pre-sale legal audit is a structured review of the same material a buyer’s team will examine: contracts, intellectual property, employment records, corporate governance, licenses, and tax compliance. The output is a prioritized list that sorts every issue into three buckets. Fix it now. Disclose it up front. Explain it if asked.<\/p>\n

Use your existing business attorney for context and history, and bring in an M&A attorney who has sat on the buyer’s side of a transaction. Ask both of them the same question: if you were representing the buyer, what would concern you most about this business?<\/p>\n

Then handle what you find on your own timeline. A problem you raise yourself is a negotiation, and owners who demonstrate that they know their business thoroughly, gaps included, build credibility that carries through the rest of diligence. The same problem discovered independently by a buyer’s counsel becomes a question about what else you left out, and that question is far more expensive to answer.<\/p>\n

Where to Start<\/h2>\n

You do not need a perfect legal record to sell your business. You need to know where the soft spots are before someone else finds them, and you need enough runway to do something about the ones worth fixing.<\/p>\n

That work is cheap and unhurried when it happens two years out. It is neither of those things in week three of due diligence.<\/p>\n
