DRMA Lunch & Learn Series: Mergers & Acquisitions – Everything You Need to Know About the Buy & Sell Side

Week 1 – Steps in the M&A Process | Wednesday, September 16, 2020 | 11:30am – 12:30pm
Join us for our first installment of the DRMA Exit Strategy series. For our first session, we will review the primary steps in a Merger & Acquisition transaction: determination of value, preparation for transition, go-to-market strategy, and execution of a deal that creates the best value and terms. Keith Carlson, VonLehman CPA & Advisory Firm, and Gerry Chadwick, Sunbelt Business Advisors, will guide attendees through the life of a M&A transaction, review best practices and answer your questions.

Week 2 – Business Valuation/Tax Analysis | Wednesday, September 23, 2020 | 11:30am – 12:30pm
Join us for the second week of the DRMA Exit Strategy series. During this session, we will cover business valuation. We will breakdown the various reports, calculations and tax analysis that come into effect with your Merger & Acquisition transaction. VonLehman CPA & Advisory Firm’s Bryan Setz, Principal, and Victor Evans, Senior Manager, will present on these best practices and answer your questions.
Week 3 – Building Business Value | Wednesday, September 30, 2020 | 11:30am – 12:30pm
Join us for our third installment of the DMRA Exit Strategy series. For our third session, Nick Amos, a wealth manager with Merrill Lynch, we’ll discuss the importance of reviewing the valuation and tax analysis with your financial advisor to determine if the funds you will receive from the sale will be enough to fund the next phase of your life. Mike Sander, owner of Sander Strategy, and Michele Mischler, a partner with Thomas, will discuss what business owners can do if there is a gap between the business’ value and what they need to for retirement. Michele and Mike will talk about how to build your sales and marketing pipeline, as well as, increasing other business value drivers.
Week 4 – Deep Dive into the Transition | Wednesday, October 7, 2020 | 11:30am – 12:30pm
Join us for our fourth installment of the DMRA Exit Strategy series. For our fourth session, we will discuss what the transaction process looks like from both the sell-side, as well as, the buy-side. We will review the process not only for smaller companies, but for middle-market companies as well. Being able to show a smooth transition creates additional value in the eye of the buying market. Keith Carlson, VonLehman CPA & Advisory Firm, and Gerry Chadwick, Sunbelt Business Advisors, will guide attendees through the buy and sell-side process in lower to middle market transactions.
Keith Carlson, Managing Director and Shareholder at VonLehman CPA & Advisory Firm, brings over 13 years of experience in M&A (selling and buying businesses), corporate finance, strategy, and capital markets to VonLehman & Company Inc. He primarily obtained this experience from various advisory and direct investment roles. Because he is well-versed in both buy- and sell-side M&A transactions, he is highly skilled in the areas of deal structuring, company positioning, transaction consequences, transaction risk mitigation, negotiations, due diligence, and financial analytics, as well as financial analysis and modeling.
Gerry Chadwick, President and owner and president of Sunbelt Business Advisors of Southwest Ohio. Founded in 2005, his vision is to assist business owners with the development of their exit strategy, including the confidential marketing and sale of their business. Gerry and the Sunbelt team work with business owners in the Greater Cincinnati, Greater Dayton and Northern Kentucky region in industries ranging from manufacturing, distribution, transportation and technology to all service sector categories.
Victor Evans, Senior Manager at VonLehman CPA & Advisory Firm, the firm with 13 years of accounting experience. He spent 9 years at a regional CPA firm, and 4 years in corporate taxation prior to that. Victor specializes in partnering with business owners and their closely-held companies. His expertise in the taxation of pass-through entities such as partnerships and limited liability companies helps business owners understand the tax impact on shareholders, partners, and members. Victor is also well versed in projecting the tax impact when planning tax-advantageous exit strategies.
Bryan Setz, Principal at VonLehman CPA & Advisory Firm, serves as the Director of VonLehman’s Business Valuation Services Group.
