[2026 Guide]

What is a good business to buy? Ask ten buyers and you will get ten answers, most of them about the cash flow or if there is an operations manager in place. Ask a broker who has watched hundreds of deals close, and a fair number fall apart, and the answer narrows considerably. Across Louisiana and the Gulf South, the businesses that sell well share a short list of traits, and the buyers who succeed share a frame of mind. Both are worth understanding, whether you are writing the check or cashing it.

THE SHORT ANSWER
A good business to buy passes three tests. Foundation: clean books, operations that run with or without the owner, a transparent seller and a price a lender will fund. Fit: the buyer has the skills, the lifestyle and the cash flow cushion to run it. Mindset: the buyer is ready to carry debt, absorb surprises and solve problems rather than flee them.

The more boxes checked, the better chance this is a good business to buy. Even if some are missing it can still be good opportunity. Let’s dive into why:

Why Buyers and Sellers See the Same Business Differently

A seller looks at a company and sees twenty years of early mornings, loyal customers and a reputation earned one job at a time. A buyer looks at the same company and sees risk, transferability and future cash flow. Neither view is wrong. They are different lenses on one asset, and most of the friction in a deal comes from the space between them and the resolutions working through that friction.

Serious buyers tend to sort their thinking into two questions. The first is whether this is a good business at all; call these the foundation criteria. The second is whether it is a good business for them in particular; call these the fit criteria. A company can pass one test and fail the other. The deals that hold up pass both.

For sellers, this is useful intelligence: if you know what a buyer will examine, you can prepare for it or better yet, fix it if it needs work.

KEY INSIGHT
The best sellers think like buyers. They stop defending the business they built and start presenting the business a buyer is actually going to acquire.

The Foundation Test: Clean Books and a Business That Runs With or Without You

Buyer confidence starts first with the financials. A serious acquirer expects three years of tax returns that reconcile with the profit-and-loss statements, add-backs that are documented rather than asserted, and no unexplained gaps. When the books tell one story and the returns tell another, the lender will believe the returns, and the price shrinks to match. Buyer confidence shrinks and friction begins. No books are perfect, but more clean the better. The cleanup belongs 12 to 24 months before a listing, not 30 days before, and a recast of Seller’s Discretionary Earnings (SDE) or EBITDA has to survive an underwriter, not just a curious buyer. More on that here.

The second foundation is transferability. Buyers are not purchasing what the owner does; they are purchasing what happens after the owner leaves. One question cuts to it: if the owner disappeared tomorrow, would the business still be standing in 90 days? If the honest answer is no, the owner has built a well-paid job, and buyers do not pay premium multiples for jobs. Key-person risk can be reduced, but it takes years of delegating, not weeks. An owner that is self-aware, honest and identifies their role clearly creates transparency.

A Transparent Seller and a Price a Lender Will Fund

The third foundation is the owner. Buyers, brokers and lenders watch how questions get answered: promptly, completely, or not at all. Anything a seller is slow to share, fairly or not, is assumed to be bad news, and usually assumed to be worse than it is. For example, a customer concentration problem disclosed early, with context and a plan, is a negotiating point. The same problem discovered in due diligence is a credibility problem. This allows for a buyer to identify, resolve and determine a plan of action.

A Realistic Price and Terms

The fourth is price and terms. Sophisticated buyers walk past overpriced listings without making an offer. Just as important is the financeability. Most small-business acquisitions in Louisiana are funded with an SBA 7(a) loan, and a price within reach of SBA underwriting opens the door to a far larger pool of qualified buyers. A price outside it quietly closes that door. The right number has to be defensible against comparable sales data and acceptable to the lenders funding your industry today.

Once the foundational pieces are in place the next major evaluation set falls to the buyer.

The Fit Test: Is This the Right Business for This Buyer?

Foundation answers whether a business is worth buying. Fit answers whether it is worth buying for a particular person. It is where many deals that look fine on paper come apart.

Skills. Can the buyer run this business from day one? A buyer with no industry background or proper licensing taking over a specialized operation is a deal that closes and then unravels eighteen months later. If it even gets done in the first place. If the seller is carrying a note, the buyer’s competence becomes the seller’s risk.

Life. Is the business within reasonable reach of where the buyer lives? Is it a 60-hour owner-operator role or something closer to semi-passive? These sound like soft questions. They are not. The SBA and most lenders have cracked down on funding absentee run operations.

Money. Does the cash flow service the acquisition debt with room to spare and still leave the buyer enough to live on? A business that pays the bank but not the owner is not a good business for that owner. Lenders want a cushion between cash flow and debt payments, and buyers should want a bigger one.

For sellers, knowing whether your company is hands-on or delegated, local or relocatable, helps put it in front of the right kind of buyer. Qualified Buyers for Your Business – How to Find Them

The Psychology of Buying a Business: Is the Buyer Ready for the Deal?

There is a third test that never appears in a listing memorandum, and it may matter most: is the buyer in the right frame of mind to do a deal at all?

Buying a company is not like buying a house. The day after closing, the new owner carries a substantial loan, a payroll that comes due every two weeks and customers with no particular reason to be patient. Debt service does not care that a key employee quit or that a large invoice is sixty days late. Buyers who have honestly reckoned with that pressure, with a cash reserve beyond the down payment, a supportive household and a realistic picture of the first year, tend to make good decisions under it. Those who have not tend to freeze, or panic.

The other half of the right mindset is accepting a plain fact: every deal has problems. A lease that needs renegotiating, equipment past its prime, a major contract that renews next spring, a soft quarter nobody can fully explain. Seasoned buyers do not treat each discovery as a reason to walk away or as ammunition to retrade the price. They sort them into categories.

Fixable. Most problems can be solved with time, money or a negotiated term: an escrow, a holdback, a longer transition period, a seller note or an earnout tied to the uncertain piece.

Not fixable. A few strike at the foundation: earnings that aren’t real, a business that cannot survive the owner’s exit, a market in structural decline. Those warrant walking away, and walking away is a perfectly respectable outcome.

How to move forward. Everything else is a question of structure rather than a verdict on the deal. Name the issue, price the risk, decide who carries it, and keep going.

Buyers who arrive looking for solution’s close deals. Buyers who arrive looking for reasons usually find them. Sellers have a stake here too: a buyer who can absorb a bad month is a buyer who keeps paying the seller note.

THE MINDSET THAT CLOSES DEALS
Every deal will have problems. The question is never whether they exist, but whether they are fixable, not fixable, and how to move forward.

Why an Experienced Broker Is a Matchmaker, Not Just a Lister

Most people assume a broker’s job is to find buyers. That is a fraction of the work. The larger job is reading both sides of the table: which sellers are ready to let go, which buyers are serious, and which pairings will hold together when things get hard. In more than 25 years and 900+ closings across Louisiana and the Gulf South, our office has learned that a mismatched deal that closes is often worse than a good deal that didn’t.

Sometimes that means telling a buyer the business they love isn’t right for them, or telling a seller the highest offer isn’t the one to take. The goal is not simply to sell the business. It is to sell it to someone who can run it, service the debt and honor the terms.

The Bottom Line

So, what is a good business to buy? One with honest books, a team that can run it, a seller who tells the truth and a price a bank will fund, bought by someone with the skills, the life and the temperament to carry it forward. If you own a business in Baton Rouge or anywhere in Louisiana and want to see how it looks through a buyer’s eyes, our team is glad to have a no-obligation conversation.

If you’re selling, buying, or advising in this space — now is the time to get serious.

Podcast: YouTube | LinkedIn: Steps to Sold Podcast | Connect: Brandon Bourgeois | Chris Sater

What is a good business to buy?
