Within weeks, a once-healthy operation is spiraling and now possibly unsellable.<\/p>\n<p>It\u2019s not a horror story\u2014it\u2019s real life. \u00a0I delt with this first hand when my father, Bob Bourgeois, the President of our operation died unexpectedly in January 2025. It was a sudden, fast, and completely surreal. I was fortunate to have plans in place.<\/p>\n<p>Sadly too many businesses collapse not from bad markets or bad products, but from <strong>a lack of disaster planning<\/strong>. In this blog post, our local experts and myself break down how to safeguard your business from sudden disruption and long-term damage\u2014so that it remains resilient, sellable, and valuable, even if the unexpected happens.<\/p>\n<p>Whether you&#8217;re years away from selling or already planning your exit, this topic applies to you.<\/p>\n<p>In my research I was surprised to see over 60% of small businesses have no formal succession or contingency plan. One unexpected event\u2014illness, death, a partner fallout\u2014can crush a company\u2019s salability or permanently damage its value. Luckily, we had plans and procedures in place. I was fortunate to be as \u201cprepared as I could be\u201d. However, there were still flaws in our planning. We see this every year with customers all across Louisiana and the gulf Coast coming to us after the unexpected and often tragic has happened.<\/p>\n<p>This guide I\u2019ve put together lays out the <strong>critical documents, systems, and strategies<\/strong> every business should have in place <strong>before disaster strikes<\/strong>.<\/p>\n<h3>1. What Would Happen If You Didn\u2019t Show Up Tomorrow?<\/h3>\n<p>Let\u2019s start with a sobering question:<\/p>\n<p><em>\u201cIf you didn\u2019t show up tomorrow, what would happen to your business?\u201d<\/em><\/p>\n<p>Would someone know how to access your bank account, heck what bank it\u2019s even at? Run payroll? Deal with customers or vendors? Have signature authority to pay bills? Paper work in place for who takes over? Who will take care of your employees and customers who have been loyal to the business for years.<\/p>\n<p>We\u2019ve seen deals fall apart in due diligence because the owner was the only person with access to critical data. We\u2019ve seen thriving companies become unsellable overnight due to leadership disputes or unanticipated legal messes. Probate closing takes a long time and when there are more parties at the table they can take even longer. Time the business doesn\u2019t have to waste.<\/p>\n<p>Disasters don\u2019t wait for you to be ready. But <strong>you can prepare your business to be disaster-proof<\/strong>.<\/p>\n<h3>2. Why This Matters (Even If You\u2019re Not Planning to Sell)<\/h3>\n<p>Most business owners plan for growth\u2014but not crisis. That\u2019s a huge risk.<\/p>\n<ul>\n<li><strong>60%+ of small businesses<\/strong> have no succession plan.<\/li>\n<li>Internal conflict or incapacitation can <strong>stall operations and destroy enterprise value<\/strong>.<\/li>\n<li>Deals are often derailed during diligence because of <strong>missing documents or poor risk planning<\/strong>.<\/li>\n<li>Taking care of those who helped get you here. <strong>You owe it to them<\/strong>. Don\u2019t leave your employees, loyal customers and family members in limbo.<\/li>\n<\/ul>\n<p>But here\u2019s the good news: Buyers love a business that is buttoned up. A disaster-proof business sends a signal of professionalism, maturity, and resilience. It increases valuation. And it makes you, the owner, more confident\u2014whether you\u2019re keeping, growing, or selling the business. Transferability is key. A prepared business in all phases is a more sellable business.<\/p>\n<h3>3. Top Scenarios to Plan For<\/h3>\n<p>Let\u2019s look at the <strong>five major threats<\/strong> that can suddenly disrupt a business\u2014and what to have in place for each.<\/p>\n<h4><strong>1. Owner Death or Incapacity<\/strong><\/h4>\n<p>This is the biggest risk to small, founder-led businesses.<\/p>\n<ul>\n<li>Have a <strong>written succession plan<\/strong> with names, roles, and steps.<\/li>\n<li>Grant <strong>power of attorney<\/strong> or pre-authorized control to a trusted advisor or co-owner.<\/li>\n<li>Ensure access to key assets: bank accounts, contracts, operations manuals, digital platforms. Yes, that may mean having a document with account credentials, log in information and key contacts to reach out too.<\/li>\n<\/ul>\n<p>Even temporary incapacity (like a hospital stay) can halt operations if no one else knows the systems. This was my experience. My father became incapacitated for several days before passing. We had paperwork notarized and prepared to elevate me to role of President. I had signature authority in place and was able to move quickly during his incapacitation and after his passing.<\/p>\n<h4><strong>2. Partner or Shareholder Conflict<\/strong><\/h4>\n<p>Many multi-owner businesses fail because there\u2019s no plan for when things go wrong.<\/p>\n<ul>\n<li>Set up a <strong>buy-sell agreement<\/strong> with triggers (death, disability, retirement, dispute).<\/li>\n<li>Define a <strong>clear valuation method<\/strong> and funding source (insurance, notes, etc.).<\/li>\n<li>Outline <strong>conflict resolution procedures<\/strong>\u2014before emotions get involved.<\/li>\n<\/ul>\n<p>Think of it like a business prenup: no one wants to use it, but everyone\u2019s safer because it exists. That\u2019s one mistake my father didn\u2019t prepare for. Years before he had a partner dispute and documentation above was not in place. It got messy, and hurt the business. Remember this is business, it doesn\u2019t matter if the Partner is your best friend, family member, or spouse. In our office Partner disputes often hinder and wreck deal confidence and value. They\u2019re too busy fighting to prepare and sell the business for the best price.<\/p>\n<h4>3. Legal or Financial Crisis<\/h4>\n<p>A lawsuit. A customer default. A personal guarantee triggered. The right protections can be the difference between survival and collapse.<\/p>\n<ul>\n<li>Review insurance: <strong>general liability, E&amp;O, business interruption, and cyber<\/strong>.<\/li>\n<li>Regularly audit your contracts: Are your terms protective? Are you indemnified?<\/li>\n<li>Avoid over-leveraging your assets without contingency plans.<\/li>\n<\/ul>\n<p>Need we say more? It\u2019s hard to sell a company with legal issues surrounding it. Reputation, ability to conduct business, loss of licensure, all can be death sentences.<\/p>\n<h4>4. Cyberattack or Data Loss<\/h4>\n<p>Even small companies are targets. One ransomware attack can take you offline for weeks.<\/p>\n<ul>\n<li>Implement a <strong>disaster recovery plan<\/strong>.<\/li>\n<li>Use <strong>secure, cloud-based storage<\/strong> for all key files.<\/li>\n<li>Maintain documented IT protocols and password managers.<\/li>\n<li>Don\u2019t be the only person that knows the password. Key a log or document that in an emergency someone can refer too to get access to vital accounts.<\/li>\n<\/ul>\n<p>Also: test your backups. Don\u2019t just trust that they work\u2014verify. We\u2019ve had computers fail, luckily our backups worked. Companies like I-Drive \u00a0are great providers for this service. Heck, even google docs is cheap is you\u2019re in a pinch.<\/p>\n<h4>5. Market Shock or Revenue Collapse<\/h4>\n<p>COVID. Industry disruption. A lost key customer. You need buffers.<\/p>\n<ul>\n<li>Diversify revenue streams if possible.<\/li>\n<li>Maintain a <strong>3\u20136 month cash reserve<\/strong> or access to credit.<\/li>\n<li>Create a <strong>business continuity plan (BCP)<\/strong> that details how you\u2019ll adjust operations, cut costs, or pivot.<\/li>\n<\/ul>\n<p>Those days of covid were fun right? Our office has been open over 25 years and survived all of the above. What kept us afloat? Being prepared and able to pivot with cash reserves and a plan. Lay out company expenses quarterly and annually for the next person so they can budget accordingly.<\/p>\n<h3>4. If you only do one thing after reading this, start here:<\/p>\n<p><strong>Succession Plan<\/strong><\/p>\n<ul>\n<li>Who takes over if you&#8217;re gone (temporarily or permanently)?<\/li>\n<li>Outline their roles and decisions they\u2019re authorized to make.<\/li>\n<li>Keep it updated annually\u2014or any time your team or personal life changes significantly.<\/li>\n<\/ul>\n<p><strong>Buy-Sell Agreement<\/strong><\/p>\n<ul>\n<li>Essential for any multi-owner company.<\/li>\n<li>Covers death, disability, retirement, sale, or disputes.<\/li>\n<li>Details valuation method and funding strategy (e.g., insurance, cash reserves).<\/li>\n<li>Saves deals and relationships when emotions are high.<\/li>\n<\/ul>\n<p><strong>Emergency SOPs<\/strong><\/p>\n<ul>\n<li>Step-by-step instructions for running operations: payroll, billing, sales, service.<\/li>\n<li>Make them cloud-based (e.g.,I-Drive, Trainual, Notion, Google Docs).<br \/>\nUpdate quarterly or after major role changes.<\/li>\n<\/ul>\n<p>Imagine your second-in-command needing to run the company tomorrow. Would they have a roadmap? Key people keep companies afloat. That doesn\u2019t just mean talent this can be licensure. If you have a trade business, get another employee, family member, etc licensed so they can step in and allow the business to run smoothly if your license is every in jeopardy.<\/p>\n<p><strong>Updated Will &amp; Trust (Including Business Assets)<\/strong><\/p>\n<ul>\n<li>Ensure business ownership is addressed in your estate plan. <strong>This was a game changer for myself.<\/strong> <strong>There was no doubt what we needed to do.<\/strong><\/li>\n<li>Minimize probate delays by structuring through trusts when appropriate.
